Terms of Service

These Terms of Service ("Terms") govern your use of Xale's websites, web app, and any desktop or mobile applications, browser extensions or related services that link to them (together, "Xale" or the "Service"). Xale is operated by Kayu Pte Ltd (UEN 201820276M), a company incorporated in Singapore ("Kayu", "we", "us" or "our").

Kayu's public service address is One North Crescent, Level 7, Suite 7052, Singapore 138538. You can contact us at support@xale.app. By creating an account, purchasing a plan or using Xale, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Eligibility

Xale is intended only for people aged 18 or older. By using Xale, you represent that you are at least 18 and legally able to enter into these Terms. You may use Xale only where the Service is lawfully available to you, and not if applicable sanctions or export-control laws prohibit us from providing it.

The Service

Xale helps you capture and organise information, turn selected ideas into intentions, and plan your time. Features may include notes, mindmaps, lists, tasks, rhythms, projects, calendars, file capture, connected services and AI-assisted tools. Some features require an account, a compatible device, an internet connection, a third-party service or a paid plan.

We may improve, replace, add or remove features. If we discontinue a material paid feature or the Service, we will give reasonable notice where practicable and honour any refund or other remedy required by law. Xale is not an archival, emergency or safety-critical service; keep an independent copy of anything you cannot afford to lose.

Accounts and security

You may use eligible parts of Xale as a guest or create an account. You must provide accurate information, keep your credentials and devices secure, and promptly tell us about suspected unauthorised use. You are responsible for activity under your account except to the extent caused by our breach of these Terms or failure to use reasonable security. Accounts are personal and may not be sold, rented or shared in a way that defeats plan limits or security controls.

Your content

You retain ownership of content you create, import or upload to Xale ("User Content"). You give Kayu a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, format, analyse and otherwise process User Content only as reasonably needed to operate, secure and improve the Service, provide features you request, comply with law and enforce these Terms. This licence ends when the content is deleted from our systems, except for temporary backups, de-identified information and records we are legally required to keep.

You are responsible for your User Content and must have the rights needed to place it in Xale and let us process it as described. Do not upload content that is unlawful, infringes another person's rights, or exposes another person's confidential or personal information without authority.

AI-assisted features

AI-assisted features may send the relevant User Content and instructions to external model providers such as Anthropic, OpenAI or Google. Providers may vary by feature, availability, account settings or fallback routing. Their commercial terms, privacy notices and service settings also apply to the material they process. More detail is in our Privacy Policy.

AI output can be inaccurate, incomplete, offensive, unsuitable or similar to output generated for somebody else. It is generated by software and is not professional, medical, legal, financial or other expert advice. Review output before relying on, publishing or acting on it. You are responsible for how you use and share it and for checking that your use is lawful and does not infringe third-party rights.

Third-party services

Xale may interoperate with Google, Stripe, Link, app stores, AI providers and other third-party services. Your use of a third-party service is also governed by that provider's terms and privacy notice. We do not control and are not responsible for a third party's service, content, availability or changes, but this does not limit any responsibility Kayu cannot exclude under applicable law.

Acceptable use

You must not use Xale to:

  • break the law or violate another person's rights;
  • upload malware, harmful code or material designed to disrupt a system;
  • gain unauthorised access, probe security, bypass plan limits or interfere with another user;
  • scrape, resell or provide Xale as a service to others without our written permission;
  • reverse engineer the Service except where applicable law expressly permits it despite this restriction;
  • use automated activity that creates unreasonable load or avoidable cost; or
  • use AI features to create unlawful content, evade provider safety measures, or make high-impact decisions about another person without appropriate human review and a lawful basis.

We may investigate suspected misuse and suspend or restrict access where reasonably necessary to protect Xale, users or third parties.

Free and Pro plans

Xale may offer a Free plan and paid Xale Pro subscriptions. Features and limits for each plan are described in the Service and may change from time to time. A reduction to a material paid entitlement will not take effect during a prepaid billing period unless needed for security, legal compliance or a third-party service change outside our reasonable control.

Web prices. The standard web prices are US$6.95 per month and US$49.95 per year. Web prices are stated and charged in US dollars unless checkout expressly offers another currency. Applicable tax and the total amount due are displayed before you authorise payment. A promotional or replacement price shown and accepted at checkout controls for that purchase.

Trial and automatic renewal. The monthly plan is charged when purchased and renews monthly. The annual plan includes a 14-day trial for eligible first-time subscribers. Unless you cancel before the trial ends, the payment method provided at checkout is charged US$49.95 plus any applicable tax, and the plan then renews annually. Paid plans continue to renew until cancelled. By subscribing, you authorise the applicable merchant of record to charge each renewal at the disclosed price and interval. Trial-ending and renewal notices will be sent where promised or required by law.

Stripe Managed Payments for web purchases

Kayu remains the seller and provider of Xale. Web purchases are facilitated through Stripe Managed Payments. Stripe's affiliate Sold through Link, LLC ("Link") acts as merchant of record for the transaction and as Kayu's agent to charge and collect subscription amounts. Checkout and receipts identify the purchase as "Sold through Link". Your payment statement will generally show LINK.COM* XALE or another Xale descriptor shown at checkout or on the receipt.

Stripe and Link provide checkout, payment collection, receipts, subscription management, fraud prevention, transaction support, refunds, dispute administration and indirect-tax services in supported jurisdictions. A Link account may be required to manage a web subscription. Your web purchase is also subject to the Link Terms.

A card or payment dispute is initiated with your payment-method provider against the Link-described transaction and is administered by Stripe or Link. Questions or claims about Xale's features, availability or quality remain Kayu's responsibility and should be sent to support@xale.app. Nothing in this section limits a right to dispute a transaction that cannot lawfully be limited.

Cancellation, renewal and price changes

You may cancel a web subscription at any time from Xale's Settings, which links to Link's subscription-management service, or through the management link in your Link receipt. Cancellation stops future renewal and normally takes effect at the end of the current paid period. You retain Pro until then unless the subscription is refunded, terminated for cause, or law requires a different result.

We may change subscription prices for a future billing period. We or Link will give the advance notice required by law, and the change will not apply before the next renewal identified in that notice. If you do not agree, cancel before the new price takes effect. Failed or reversed payments may lead to retries, limited paid access or downgrade after reasonable notice.

Refunds

Refunds are governed by our Refund Policy, Link's applicable refund terms and mandatory consumer law. A full refund under Xale's 14-day first-charge guarantee ends Pro access when approved, but does not delete your Xale account or User Content. Cancelling a subscription by itself does not refund an already-paid period.

App Store and Google Play purchases

If Xale offers subscriptions through Apple's App Store or Google Play, that store acts as the transaction provider or merchant under its own terms. Store pricing, currency, tax, renewal, cancellation and refund rules may differ from web purchases. Manage or request a refund for a store purchase through the store. Kayu remains responsible for Xale's product and support unless the store's mandatory terms say otherwise.

Account deletion

You may delete your account from Settings. For an active web subscription, Xale will initiate or require cancellation before completing deletion so that future Link charges stop. Account deletion removes access immediately and is not, by itself, a request for a refund. If you purchased through an app store, deleting Xale cannot cancel the store subscription; you must cancel it with Apple or Google. Our Privacy Policy explains deletion and legal-retention practices.

Xale's intellectual property

Xale, including its software, design, branding, templates, documentation and other materials we provide, is owned by Kayu or its licensors and protected by law. Subject to these Terms, Kayu grants you a limited, personal, non-exclusive, non-transferable and revocable licence to use the Service for your own lawful purposes. No other rights are granted.

If you voluntarily provide feedback or suggestions, you allow Kayu to use them without restriction or compensation, provided we do not publicly identify you as the source without permission.

Availability and warranties

We aim to provide a reliable and useful service, but internet, software and third-party services can fail. To the maximum extent permitted by law, Xale is provided "as is" and "as available" and we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation. We do not warrant that data will always synchronise or be recoverable, or that AI output will be accurate.

These disclaimers do not exclude any statutory warranty, consumer guarantee or remedy that cannot lawfully be excluded or limited, including mandatory rights that apply where you live.

Limitation of liability

To the maximum extent permitted by law, Kayu and its officers, employees and suppliers are not liable for indirect, incidental, special, exemplary or consequential loss, or for lost profits, revenue, goodwill, opportunity or data, arising from Xale or these Terms, even if advised that such loss was possible.

To the maximum extent permitted by law, Kayu's total aggregate liability arising from Xale or these Terms is limited to the greater of (a) the amount you paid for Xale during the 12 months immediately before the event giving rise to the claim and (b) US$100. This cap does not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that applicable law does not permit us to limit.

Suspension and termination

You may stop using Xale at any time. We may suspend or terminate access where you materially breach these Terms, create security or legal risk, fail to pay, or where we are required to do so by law or a provider. Where reasonable, we will give notice and an opportunity to fix the issue. On termination, your licence to use Xale ends. Terms that by their nature should survive, including ownership, payment, disclaimers, liability limits and dispute provisions, remain in force.

Changes to these Terms

We may update these Terms as Xale, our providers or the law changes. We will update the date above and provide reasonable notice of a material change. A materially adverse change will not apply retroactively. If you do not agree to a future change, stop using Xale and cancel any subscription before the change takes effect.

Governing law and disputes

These Terms are governed by Singapore law, without regard to conflict of laws principles. The courts of Singapore have non-exclusive jurisdiction over disputes. Before filing a claim, please contact support@xale.app and give us a reasonable opportunity to resolve it. Nothing here removes mandatory consumer protections or a right to use a local court or regulator that applicable law does not allow you to waive.

General

These Terms, the Privacy Policy, the Refund Policy and terms presented at checkout form the agreement between you and Kayu about Xale. If one provision is unenforceable, the rest remain effective. A delay in enforcing a term is not a waiver. You may not assign these Terms without our consent; Kayu may assign them as part of a merger, reorganisation, financing or sale of the relevant business, with notice where required. We are not responsible for delay caused by events beyond our reasonable control. Headings are for convenience only.
